Customer Terms of Service

These Customer Terms of Service (the “Terms”) govern access to and use of the Olive decentralized AI compute platform (the “Platform” or “Services”) provided by [legal entity name], a U.S. C-corporation being formed in [state of incorporation](“Olive,” the “Company,” “we,” or “us”). They form a binding contract between the Company and the individual or organization using the Platform (the “Customer,” “you”).

By creating an account, submitting a job, or otherwise using the Services, you agree to these Terms. If you accept on behalf of an organization, you represent that you are authorized to bind it.

1. Acceptable use

You must use the Platform in compliance with all applicable laws. You may notsubmit, deploy, or execute jobs that involve:

  • Illegal activity, or content whose creation or distribution violates applicable law;
  • Malware, viruses, spyware, or code designed to damage, hijack, surveil, or exfiltrate from host environments;
  • Unauthorized cryptocurrency mining;
  • Attempts to break out of, bypass, or evade the sandbox, network isolation, signing, or verification systems;
  • Mass surveillance, weapons targeting, or other high-risk military applications;
  • Non-consensual sexual content, child sexual abuse material, or deepfakes depicting real individuals without consent;
  • High-stakes automated decisions affecting people’s legal rights, safety, finances, or access to essential services without appropriate human oversight; or
  • [any additional prohibited categories].

We may review job metadata (not necessarily job content), suspend accounts, and terminate access where we reasonably believe these rules are violated.

2. How your data is handled (please read)

  • Routing: Your job inputs and metadata are received by our control plane hosted on AWS (managed Postgres, Redis, and object storage).
  • Decentralized execution: Jobs are scheduled onto third-party “Device Owner” machines running the Olive Agent.
  • Sandboxing: Workloads run inside signed, network-isolated Docker containers with no persistent storage; Job Content is removed from the host on completion.
  • No confidentiality guarantee: On commodity consumer hardware, the Company cannot cryptographically guarantee that a Device Owner is unable to access data inside the sandbox or in active memory. You therefore agree to submit only non-sensitive, public, or customer-non-confidential data and open-weight models, and not to submit regulated, special-category, health, payment-card, or otherwise highly confidential data (see also the limitation in Section 6).
  • Integrity, not secrecy: Security is built around execution integrity — sandboxing, Ed25519-signed artifacts and results, and sampled redundant execution — rather than secrecy.
  • Future confidential tier: A TEE-based confidential tier on attested hardware is planned but not available during beta. Do not rely on it.

Data processing. Where your Job Content includes personal data, you are the controller and Olive acts as a processor. A Data Processing Addendum (DPA), including applicable Standard Contractual Clauses, [will be made available] and is incorporated by reference.

3. Billing

  • Simulated billing during beta: The Platform is in private beta. All prices, cost estimates, and ledgers are simulated. No charges are collected and no payments are due during beta.
  • Transition to live billing: We may introduce live billing in U.S. dollars. We will give you at least [# days] notice before live billing begins, and live billing will be governed by the then-current pricing and any updated agreement.
  • Metering: Once live, you will be billed based on metered consumption (e.g., CPU/GPU time, memory, and data transfer).
  • Failed jobs: Once live, billing is intended to apply to completed jobs. Credits or refunds for failed jobs (e.g., due to node failure or failed verification) will be handled [per a published policy].

4. Service levels (SLA)

  • Beta = best-effort: During private beta, the Services, APIs, and dashboards are provided “as is” and “as available,” with no uptime, performance, or availability guarantees and no service credits.
  • Production SLA: If and when we move to production billing, we intend to publish service-level targets (e.g., availability, job-success, latency). Specific targets such as [e.g., 99.9%] and any credits will be set out in a separate production agreement. Nothing here commits to a specific SLA today.

5. Confidentiality and the peer-execution model

  • Acknowledgment: Because jobs run on third-party machines, you acknowledge that your code, data, prompts, and containers will be distributed to and executed on hardware the Company does not control.
  • Scope of waiver: To the maximum extent permitted by law, you agree not to bring confidentiality-breach claims against the Company or Device Owners arising solely from execution of your job on peer devices, provided the Company has applied the safeguards described in Section 2.
  • Your representation: You represent that all data and models you upload are appropriate for execution in a non-confidential environment, and that you have the rights to use and process them.
  • Olive’s confidentiality duties to you: Separately, the Company will protect your account credentials, API keys, and non-public business information that you share with us directly (as distinct from Job Content executed on peer devices).

6. Upstream model licenses

If you run third-party or open-weight models on the Platform, you are solely responsible for complying with their licenses. For example, certain Meta Llama community licenses include use-based conditions (such as a monthly-active-user ceiling above which a separate license is required, and restrictions on using outputs to train competing models). You must not use the Platform in violation of any applicable model license.

7. Indemnification, liability, disputes, and governing law

  • Indemnification. You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from third-party claims, damages, and reasonable expenses (including attorneys’ fees) arising from: (a) your breach of these Terms, including Section 1; (b) your violation of third-party intellectual-property or privacy rights; or (c) your submission of regulated, confidential, or otherwise prohibited data to the Platform.
  • Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR USE. THE COMPANY’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED [liability cap].
  • Dispute resolution. [dispute-resolution mechanism].
  • Governing law. These Terms are governed by the laws of [state], without regard to conflict-of-laws rules.

8. Termination, suspension, and offboarding

  • By you: You may stop using the Services and close your account at any time.
  • By us: We may suspend or terminate access, without liability, if: (a) you violate Section 1; (b) your activity poses a security risk to the Platform or others; or (c) you fail to pay live fees when due.
  • Offboarding: On termination, access credentials are revoked. You are responsible for exporting any results before termination. The Company has no obligation to retain Job Content after termination, and cached job data on the control plane will be deleted in the ordinary course.

9. Changes to these Terms

We may update these Terms. We will post changes and update the effective date, and for material changes provide [notice method]. Continued use after changes take effect constitutes acceptance.
